SpaceX completes Cursor merger, issuing about 389 million Class A shares
SpaceX completed its acquisition of Anysphere, Inc., known as Cursor, on August 14, 2026, when the merger became effective. Cursor's outstanding common and preferred stock were converted into the right to receive an aggregate of 389,289,254 shares of SpaceX Class A common stock.
The share count was based on an implied equity value of Cursor of $60.0 billion and a price per share equal to the volume-weighted average closing price over the seven consecutive trading days before closing. Vested Cursor restricted stock units were converted into the right to receive an aggregate of 1,752,426 SpaceX Class A shares, before any tax withholding.
Unvested Cursor restricted stock units and stock options were assumed and converted into approximately 29,128,326 SpaceX restricted stock units and approximately 44,365,047 stock options to purchase SpaceX Class A common stock. Cursor survives as a wholly owned subsidiary of SpaceX.
SpaceX said the shares were issued in reliance on the Securities Act exemption for transactions by an issuer not involving any public offering.
